Terms and Conditions of Use

1. INTRODUCTION AND ACCEPTANCE

Welcome to wimsedas.com, an IoT telemetry and monitoring platform owned by WIMSEDAS, with registered office in Panama City, Republic of Panama.

These Terms and Conditions govern access to and use of our website, application, control panel, APIs and related services (hereinafter, the "Service"). By registering, accessing or using the Service, you declare that you have read, understood and agree to be bound by these terms, as well as by our Privacy Policy.

If you are acting on behalf of a company, you declare that you have the legal authority to bind such entity to these terms. If you do not agree with any part of these terms, you must not use our Service.

2. DEFINITIONS

  • "User" / "Client" / "You": The natural or legal person who registers and uses the Service.
  • "Device": Any hardware (ESP32, Arduino, sensors, actuators, etc.) that the User configures to connect to the wimsedas.com platform.
  • "Telemetry Data": The information (temperature, humidity, relay status, voltage, etc.) sent by the User's Devices to the platform.
  • "Monitoring Terminals": The sections of the control panel (dashboards), graphs and reports where Telemetry Data is displayed.

3. DESCRIPTION OF THE SERVICE

wimsedas.com is a Software as a Service (SaaS) platform that allows Users to:

  1. Connect and manage IoT devices remotely.
  2. View sensor data in real time through a dashboard.
  3. Configure alerts and notifications (email, Telegram) based on predefined thresholds.
  4. Control actuators (relays) manually or through programmed automations.

The User is solely responsible for the correct installation, configuration and maintenance of their Devices, as well as for the interpretation and use of the Telemetry Data.

4. REGISTRATION, ACCOUNT AND SECURITY

To use the Service, you must create an account providing truthful, accurate and complete information. You are solely responsible for:

  • The confidentiality of your password and access credentials.
  • All activities that occur under your account, whether authorized by you or not.
  • Notifying us immediately of any unauthorized use of your account or any other security breach.

wimsedas.com shall not be liable for any loss or damage arising from failure to comply with these security obligations.

5. USER OBLIGATIONS AND RESPONSIBILITIES

The User agrees to:

  1. Legal Use: Use the Service only for lawful purposes and in accordance with these terms, the Privacy Policy and applicable laws in the Republic of Panama and your local jurisdiction.
  2. Prohibitions: Not use the Service for:
    • Illegal, fraudulent or unauthorized activities.
    • Sending spam or unsolicited messages.
    • Storing, distributing or facilitating illegal, defamatory, obscene content or content that infringes third party rights.
    • Attempting to breach the security of the Service, access other Users' data or interfere with the operation of the platform.
    • Reverse engineering, decompiling or extracting the source code of our software.
  3. Critical Devices (NON-LIABILITY AGREEMENT): The User acknowledges and agrees that wimsedas.com is NOT designed nor suitable for use in life support systems, critical security applications, air traffic control, weapons systems, operation of nuclear facilities or any other activity where failure of the Service could cause harm to persons, property or the environment (hereinafter, "Unauthorized Applications"). The use of the Service in such Unauthorized Applications is at the User's sole and exclusive risk, and wimsedas.com is hereby exonerated from any liability.

6. SCOPE OF SERVICES AND MODIFICATIONS

wimsedas.com strives to keep the Service operational and available. However, the User acknowledges that:

  • The availability and performance of the Service may be affected by factors beyond our control (internet, telecommunications networks, power outages, force majeure events, etc.).
  • We reserve the right to modify, suspend or discontinue, temporarily or permanently, any part of the Service, with or without prior notice. We shall not be liable to you or to third parties for any modification, suspension or interruption of the Service.
  • We will make reasonable commercial efforts to notify significant changes, but we are not obligated to do so in emergencies or when required by law.

7. INTELLECTUAL PROPERTY

  • Our Content: All content of the website and platform (code, design, logos, text, graphics) is the property of WIMSEDAS or its licensors and is protected by the intellectual property laws of Panama and international treaties.
  • Your Data: You own all Telemetry Data generated by your Devices. By using the Service, you grant us a limited license to process, store and display such data for the sole purpose of providing you the Service.
  • Feedback: If you send us any suggestion, idea or comment to improve the Service, you grant us a perpetual, irrevocable and royalty-free license to use such feedback without restriction or compensation.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY PANAMANIAN LAW, WIMSEDAS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

WIMSEDAS DOES NOT WARRANT THAT:

  1. THE SERVICE WILL BE UNINTERRUPTED, SECURE, FREE OF ERRORS OR VIRUSES.
  2. THE TELEMETRY DATA WILL BE ACCURATE, CORRECT OR RELIABLE.
  3. THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR MEET YOUR EXPECTATIONS.

THE USER ASSUMES ALL RESPONSIBILITY FOR THE SELECTION OF THE SERVICE TO ACHIEVE THE DESIRED RESULTS, AS WELL AS FOR THE INSTALLATION, USE AND RESULTS OBTAINED FROM THEIR DEVICES.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER WIMSEDAS, NOR ITS DIRECTORS, EMPLOYEES OR AGENTS SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, REPUTATION OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICE.

WIMSEDAS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY THE USER, IF ANY, DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. GIVEN THAT SOME SERVICES MAY BE OFFERED FREE OF CHARGE, THIS MAY MEAN THAT THERE IS NO MONETARY COMPENSATION WHATSOEVER.

10. GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law provisions.

Any dispute or claim arising out of or relating to these terms or the use of the Service shall be submitted to the exclusive jurisdiction of the ordinary courts of Panama City, Republic of Panama, the parties waiving any other jurisdiction to which they may be entitled.

11. ENTIRE AGREEMENT AND MODIFICATIONS

These terms constitute the entire agreement between the User and wimsedas.com with respect to the Service and supersede any prior agreements.

WIMSEDAS reserves the right to modify these terms at any time. We will post the updated version on our website. Your continued use of the Service after such changes constitutes your acceptance of the new terms. If you do not agree to the modified terms, you must stop using the Service.
